Job Description:
Position Summary
The Senior Counsel, Contracts, will be primarily focused on reviewing, drafting, and negotiating a wide variety of commercial contracts, as well as implementing and overseeing effective contract management processes. This individual will also be expected to handle several other general corporate legal matters. Many functions of the position will be on behalf of regulated Cboe entities that operate in a highly regulated environment. Compliance by Cboe with its legal and regulatory obligations is paramount in the conduct of its business. This position is in Chicago, Illinois.
Responsibilities:
- Review, draft and negotiate a wide range of contracts, including but not limited to services agreements, license agreements, technology agreements, marketing agreements, non-disclosure agreements, lease agreements and other agreement types.
- Collaborate closely with internal stakeholders to understand business needs and align on contract terms and negotiation strategy.
- Provide timely and practical legal advice on contractual matters, legal risks, and commercial terms to various business units.
- Stay up to date with changes in law and business that could impact the Company’s contractual obligations and rights.
- Assist with the administration and optimization of the Company’s contract management system.
- Assist in the development or enhancement of templates, policies, and processes to help create efficiencies in the contracting process.
- Assist in managing outside counsel work on general corporate matters.
- Other legal support for Company activities.
- Maintain high standards of legal and regulatory compliance and promote a culture of compliance.
Qualifications:
- Bachelor's Degree and Juris Doctorate required (from an accredited institution).
- Member of Illinois state bar or otherwise authorized to practice law in Illinois.
- Minimum 4 years of directly related experience in a law firm and/or in-house legal department.
Knowledge, Skills, and Abilities
- Knowledge of relevant substantive legal areas, including intellectual property, licensing, privacy, and data protection.
- Working knowledge of general securities industry, financial markets and/or derivatives markets – preferred.
- Computer proficiency in Microsoft Office Suite applications including Word, PowerPoint, Excel, and Outlook, as well as document management and other office technologies.
- Strong attention to detail and ability to understand complex contractual issues, assess risk and provide pragmatic recommendations to all levels of management.
- Ability to independently manage multiple time-sensitive projects simultaneously.

Our pay ranges are determined by a number of factors, including, but not limited to, role, experience, level, and location. The national new hire base pay range for this job in the United States is $157,250-$194,250. This range represents the minimum and maximum base pay the company expects to offer for new hires working in the position full time. If you live in one of the following areas or if you work in a Cboe office in the following areas, the range may be higher according to the geographic differentials listed below:
US Geographic Differentials:
- 110%: Austin TX, Chicago IL, Denver CO, San Diego CA
- 115%: Los Angeles CA, Seattle WA
- 120%: Boston MA, Washington DC
Within the range, individual pay is determined by a number of factors, including, but not limited to, work location, job-related skills, experience, and relevant education or training.
