Who You Are
As a De-Fi/OnChain Attorney, you will provide expert legal counsel on issues related to decentralized finance and staking services, including compliance, commercial transactions, and governance matters. You should be highly motivated, prepared to work extended hours, and thrive in an entrepreneurial and demanding environment.
What You’ll Do
- Serve as a strategic legal advisor on all OnChain and De-Fi-related legal negotiations, with a focus on staking, validation, and tokenization matters.
- Draft, review, and negotiate agreements, including token purchase agreements, staking and validation agreements, token liquidity arrangements, token grant agreements, token warrants, SAFTs and SAFEs, and similar documentation pertaining to digital assets.
- Provide legal insights on complex regulatory landscapes affecting decentralized finance and cryptocurrency projects.
- Identify and mitigate legal risks in a rapidly evolving De-Fi ecosystem.
- Collaborate with product, engineering, and business teams to ensure compliance with relevant laws and regulations.
- Coordinate resources with respect to negotiations, including management of outside counsel engagement where appropriate;
- Draft and negotiate non-disclosure agreements;
- Address issues related to intellectual property, data privacy, and governance within De-Fi structures.
- Stay informed on industry trends, regulatory updates, and emerging technologies.
- Manage workflow in a highly dynamic and demanding environment while remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of Galaxy; and
- Help with other special corporate projects and such other activities as may be assigned.
What We’re Looking For
- The ideal candidate will be highly organized, have meticulous attention to detail and a demonstrable ability to produce quality work product in a fast-paced, high-volume environment;
- A strong foundational knowledge coupled with a passion for the blockchain space.
- 3-5 years of transactional experience in top-tier law firms or crypto-focused companies.
- Strong critical thinking and strategic problem-solving skills.
- Comprehensive understanding of staking, validation, and De-Fi protocols.
- Experience negotiating token purchase agreements, staking and validation agreements, token liquidity arrangements, token grant agreements, token warrants, SAFTs and SAFEs, and similar documentation pertaining to digital assets.
- Ability to thrive under pressure and in a fast-paced, high-tempo environment.
- Highly motivated, self-starter who takes initiative;
- Positive attitude, and willingness to roll up sleeves (no job too big, no job too small);
- Ability to think creatively and propose commercially pragmatic solutions;
- Excellent written and oral communication skills.
- Member in good standing of the New York State Bar.
Bonus Points
- Knowledge of the regulatory treatment of digital assets.
- Demonstrable track record in handling Staking and De-Fi-specific legal issues.
- Product knowledge and transactional or regulatory experience with trading and lending products generally
