Paxful is looking for a seasoned Senior Counsel, Legal to join our legal team at Paxful - a global peer-to-peer marketplace that allows users to buy and sell cryptocurrencies, such as Bitcoin and Ethereum. Paxful’s mission is focused on the future of finance and building a digital asset market place which meets the needs of a new global financial system.
Reporting directly to the General Counsel, you will be Paxful’s principal in-house legal advisor for commercial and corporate matters including strategic investments, partnerships, joint ventures, and mergers and acquisitions. We will require a highly qualified, team-oriented transactional attorney with significant experience in complex contracts and transactional documentation.
Requirements
- Serve as the primary in-house attorney for corporate projects, managing multiple simultaneous transactions, including acquisitions of crypto startups or platforms, mergers between blockchain-based companies to consolidate technology or market presence, and sales of tokenized assets or intellectual property.
- Act as the primary legal advisor for corporate transactions, including financings, acquisitions, divestitures, and joint ventures, while supporting corporate development activities such as equity financings, acquisitions, acquihires, and strategic partnerships at all stages. This includes conducting due diligence, drafting and negotiating definitive documentation, managing transaction closings, and overseeing post-closing integration.
- Collaborate closely with business, corporate development, compliance, and operations teams on a range of matters, including options and equity administration, M&A transactions, and other significant commercial deals.
- Cross-Border Deals: Structure, negotiate, and document international partnerships and other relationships, with a strong focus on the crypto ecosystem.
- Project Management: Lead and manage multiple projects efficiently, providing counsel on complex legal, compliance, and business issues.
- General Counsel Support: Perform various other duties as delegated by the General Counsel.
Preferred Qualifications:
- 4-6+ years of relevant experience at a top law firm, with significant experience working with large companies.
- Prior in-house experience at a financial technology company is a plus.
- Strong interest in cryptocurrency, blockchain technology, and their evolving legal and regulatory landscapes is a plus.
- Excellent negotiation, drafting and project management skills.
- Excellent judgement, analytical rigor, and business pragmatism.
- Experience communicating with cross-functional teams.
- Very strong attention to detail and ability to stay organized in a fast-paced environment.
- Must be active and in good standing in one State Bar in the United States.
